TERMS OF SERVICE

1. ACCEPTANCE OF TERMS

These Terms of Service constitute a legally binding agreement between you (the "Client," "you," or "your") and Sell For 1 ("Sell For 1," "we," "us," or "our") governing your use of our low-fee home selling solutions and related services. By engaging our services, scheduling a consultation, or otherwise accessing our platform, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service in their entirety.

If you do not agree to these terms, you must not use our services or access our platform. Your continued use of our services following any modifications to these terms constitutes acceptance of those changes.

2. SERVICE DESCRIPTION

Sell For 1 provides low-fee home selling solutions focused on equity preservation for residential property sellers. Our services include, but are not limited to:

1% Listing Strategy: We provide a comprehensive listing approach designed to market and sell your property at a reduced commission rate of one percent, helping you retain more equity from your home sale.

Equity Preservation Planning: We offer strategic planning services to help you maximize the net proceeds from your home sale by minimizing costs and optimizing pricing strategies.

Seller Negotiation Support: We provide professional negotiation assistance throughout the selling process, representing your interests in discussions with potential buyers and their representatives.

Our services are advisory and facilitative in nature. While we strive to achieve optimal outcomes for every client, we do not guarantee specific results, sale prices, timeframes, or that your property will sell. Real estate transactions involve numerous variables beyond our control, including market conditions, buyer availability, property condition, and economic factors.

The specific scope of services, commission structure, duration of listing agreement, and other material terms will be detailed in a separate listing agreement or service contract that you will execute prior to commencing services.

3. USER OBLIGATIONS

By engaging our services, you agree to:

Provide accurate, complete, and truthful information regarding your property, including but not limited to property condition, title status, existing liens or encumbrances, material defects, and any other information relevant to the sale.

Respond promptly to requests for information, documentation, or access to the property for showings, inspections, or appraisals.

Maintain your property in showing-ready condition throughout the listing period, unless otherwise agreed in writing.

Comply with all applicable federal, state, and local laws, regulations, and ordinances related to the sale of your property, including fair housing laws and disclosure requirements.

Grant us authority to market your property through various channels, including but not limited to Multiple Listing Services (MLS), online platforms, social media, signage, and other marketing materials.

Refrain from misrepresenting information about your property or engaging in discriminatory practices in the sale process.

Honor the terms of any listing agreement or service contract executed with Sell For 1, including exclusivity provisions and commission obligations.

Notify us immediately of any changes to property condition, ownership status, or other material facts that may affect the sale.

Failure to fulfill these obligations may result in termination of services, forfeiture of any refunds, and potential liability for damages or unpaid fees.

4. APPOINTMENT SCHEDULING AND CANCELLATIONS

Consultation Scheduling: Initial consultations and property assessments may be scheduled by contacting us at Drew.Monroe@sellfor1.info or through other designated scheduling methods we provide.

Cancellation Policy: If you need to cancel or reschedule an appointment, you must provide at least 24 hours advance notice. Cancellations made with less than 24 hours notice or failure to appear for a scheduled appointment may result in a cancellation fee or impact our ability to provide services.

Our Cancellations: We reserve the right to cancel or reschedule appointments due to emergency circumstances, scheduling conflicts, or other unforeseen events. We will make reasonable efforts to notify you promptly and reschedule at your convenience.

Property Showings: Once your property is listed, showing schedules will be coordinated based on mutual agreement. You agree to make your property reasonably available for showings during normal business hours and, when possible, with advance notice.

Professional Appointments: You are responsible for being available or arranging access for inspections, appraisals, and other professional appointments required during the sale process.

5. PAYMENT TERMS

Commission Structure: Our standard service operates on a one percent (1%) listing commission model. The specific commission rate, payment structure, and any additional fees will be clearly outlined in your listing agreement or service contract.

Payment Due: Commission and any applicable fees are typically due at closing and paid from the sale proceeds. Payment terms will be specified in your service agreement.

Additional Costs: You acknowledge that additional costs may be incurred during the sale process, including but not limited to staging expenses, professional photography, enhanced marketing packages, inspection fees, repair costs, and closing costs. You are responsible for these expenses unless otherwise agreed in writing.

Non-Refundable Fees: Certain fees for services already rendered, such as professional photography, marketing materials, or administrative costs, may be non-refundable even if the property does not sell or the listing is cancelled.

No Sale, No Fee: Unless otherwise specified in your service agreement, if your property does not sell during the listing period, you will not owe our standard listing commission. However, you may remain responsible for reimbursable expenses incurred on your behalf.

Overdue Payments: Any amounts not paid when due shall accrue interest at the rate of 1.5% per month or the maximum rate permitted by law, whichever is less.

6. LIMITATION OF LIABILITY

To the maximum extent permitted by applicable law, Sell For 1, its owners, agents, employees, contractors, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to lost profits, lost equity, opportunity costs, or damages resulting from:

Failure of your property to sell within any particular timeframe or at any particular price.

Market fluctuations, economic conditions, or changes in real estate values.

Actions or omissions of third parties, including buyers, other real estate agents, inspectors, appraisers, lenders, or closing agents.

Inaccurate or incomplete information provided by you regarding your property.

Property condition issues, title defects, or other problems discovered during the sale process.

Delays in closing, transaction failures, or buyer financing issues.

Any disputes arising from the purchase agreement or post-closing matters.

Our total aggregate liability to you for any claims arising from or related to our services shall not exceed the total amount of commissions and fees actually paid to us by you.

We shall not be liable for any failure or delay in performing our obligations due to circumstances beyond our reasonable control, including but not limited to natural disasters, acts of government, labor disputes, or disruptions to MLS or other essential services.

Nothing in these terms shall limit liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be limited or excluded by law.

7. WARRANTY DISCLAIMERS

Our services are provided on an "as is" and "as available" basis without warranties of any kind, either express or implied.

We specifically disclaim all warranties, including but not limited to:

Warranties of merchantability or fitness for a particular purpose.

Warranties that your property will sell within any specific timeframe or at any particular price.

Warranties regarding the accuracy, completeness, or reliability of market analyses, comparative market analyses, or pricing recommendations.

Warranties regarding the qualification, financial capability, or intentions of potential buyers.

Warranties that marketing efforts will generate any specific number of showings or offers.

While we strive to provide accurate information and professional service, we make no representations or warranties regarding:

The accuracy of property information obtained from you or third-party sources.

The accuracy of MLS data, public records, or other information sources.

The absence of errors or omissions in marketing materials or property descriptions.

The compliance of your property with building codes, zoning regulations, or other requirements.

You acknowledge that real estate transactions involve inherent risks and uncertainties. We encourage you to obtain independent legal, tax, financial, and other professional advice as appropriate for your circumstances.

We do not guarantee that our services will be uninterrupted, timely, secure, or error-free, or that any defects will be corrected.

8. PROFESSIONAL RELATIONSHIP

The relationship between you and Sell For 1 is that of client and service provider. Nothing in these terms creates a partnership, joint venture, employment, or agency relationship except as specifically outlined in a separate listing agreement.

We will represent your interests in accordance with applicable real estate laws and regulations and our fiduciary duties as outlined in any listing agreement or agency disclosure forms.

You acknowledge that we may represent other sellers with competing properties, subject to applicable disclosure requirements and conflict of interest rules.

Any advice or recommendations we provide are based on our professional experience and market knowledge but should not be considered as legal, tax, financial, or investment advice. You should consult appropriate professionals for such advice.

9. CONFIDENTIALITY AND DATA PRIVACY

We respect your privacy and will handle your personal information in accordance with applicable privacy laws and regulations.

Information you provide to us may be shared with:

Multiple Listing Services and other real estate professionals as necessary to market your property.

Potential buyers and their representatives as part of the normal sale process.

Third-party service providers assisting with marketing, technology, or administrative functions.

Legal, financial, or other professionals as necessary to complete the transaction.

We will not sell or rent your personal information to third parties for their marketing purposes without your explicit consent.

You acknowledge that property information, once listed, becomes part of the public MLS database and may be disseminated widely through various real estate platforms and websites.

10. INTELLECTUAL PROPERTY

All marketing materials, photographs, virtual tours, property descriptions, and other content created by or on behalf of Sell For 1 remain our intellectual property. You grant us a non-exclusive license to use images and information about your property for marketing purposes during and after the listing period, including for our own promotional purposes.

You represent that you have the right to grant us permission to photograph and market your property and that doing so does not violate any third-party rights.

11. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless Sell For 1, its owners, agents, employees, contractors, and affiliates from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from:

Your breach of these Terms of Service or any service agreement.

Your violation of any law, regulation, or third-party right.

Inaccurate, incomplete, or misleading information you provide about your property.

Property condition issues, defects, or hazards not properly disclosed.

Disputes with buyers or other parties to the transaction.

Any content or information you provide to us.

12. DISPUTE RESOLUTION

Any dispute, claim, or controversy arising out of or relating to these Terms of Service or our services shall first be attempted to be resolved through good faith negotiation between the parties.

If negotiation does not resolve the dispute within thirty (30) days, the parties may agree to mediation before a mutually acceptable mediator.

Nothing in these terms prevents either party from seeking injunctive or other equitable relief in court to protect intellectual property rights or confidential information.

Each party shall bear its own costs and expenses in connection with any dispute resolution process.

13. GOVERNING LAW

These Terms of Service shall be governed by and construed in accordance with the laws of the jurisdiction in which the property is located, without regard to conflict of law principles.

Any legal action or proceeding arising under these terms shall be brought exclusively in the courts of competent jurisdiction in the location where the property is situated, and the parties hereby consent to the personal jurisdiction of such courts.

If any provision of these terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

14. TERMINATION

Either party may terminate the service relationship in accordance with the terms specified in the listing agreement or service contract.

Upon termination, you remain responsible for:

Payment of earned commissions if termination occurs after an offer has been accepted or during a protection period as specified in the listing agreement.

Reimbursement of non-refundable expenses incurred on your behalf.

Any other obligations that survive termination as specified in the service agreement.

We reserve the right to terminate services immediately if:

You breach these Terms of Service or the service agreement.

You provide false or misleading information.

You engage in illegal, unethical, or discriminatory conduct.

The property becomes unmarketable due to title issues, legal problems, or other impediments.

Continuing the relationship would violate applicable laws or regulations.

Sections of these terms that by their nature should survive termination shall survive, including but not limited to payment obligations, liability limitations, indemnification, and dispute resolution provisions.

15. ENTIRE AGREEMENT AND MODIFICATIONS

These Terms of Service, together with any listing agreement, service contract, or other written agreements executed between you and Sell For 1, constitute the entire agreement between the parties regarding the subject matter herein and supersede all prior or contemporaneous understandings, agreements, representations, and warranties, whether written or oral.
